释义 | 不當地使用職權 The utilisation by an officer or employee of a corporation of his or her position as such an officer or employee to gain, directly or indirectly, a personal advantage or an advantage for any other person or to cause detriment to the corporation. The test of impropriety is concerned with the purpose of the use of position, rather than whether the use of position caused the advantage to the person or the detriment to the company. The test of impropriety must be determined on objective grounds and does not depend on an alleged offender’s consciousness of impropriety.
