释义 | 邀請 In relation to corporations, the act of inviting an individual. Such an invitation is not an ‘invitation to the public’. Invitation to the public means an allotment of, or an agreement to allot, shares or debentures made with a view to the shares or debentures being offered for sale to the public: Companies Ordinance (Cap 32) s 41(2). Except by way of prospects, no person is entitled to issue, or have in his or her possession for the purposes of issuing any invitation which to his or her knowledge is or contains an invitation to the public to enter into any agreement for or with a view to acquire disposing of, subscribing for or underwriting securities: Securities and Futures Ordinance (Cap 571) s 103(1). 就有關法團而言,指邀請某人士的作為。此項邀請不是 「向公眾提出邀請」。向公眾提出邀請意指向公眾作出股份或債權證的發售要約而分配或同意分配股份或債權證:《公司條例》(第32章)第41(2)條。除非是通過觀察,任何人不得發出任何邀請,或為發出而管有任何邀請,而他知道該邀請屬或載有請公眾作出訂立或要約訂立旨在取得、處置、認購或包銷證券的協議的邀請:《證券及期貨條例》(第571章)第103(1)條。n. |
