释义 | 保證、保證書、保證條款 1. A guarantee or assurance. An express or implied promise that certain facts are as they are represented to be. In its common usage, any contractually binding promise, whatever its nature: Oscar Chess Ltd v Williams [1957] 1 All ER 325, 1 WLR 370 (CA). 2. An agreement with reference to goods that are the subject of a contract of sale but collateral to the main purpose of such a contract, the breach of which gives rise to a claim for damages but not to a right to reject the goods and treat the contract as repudiated: Sale of Goods Ordinance (Cap 26) s 2(1); Wallis, Son and Wells v Pratt and Haynes [1911] AC 394 (HL). Warranties are thus distinguishable from conditions, as a breach of condition entitles the innocent party to rescind the contract and claim damages for any loss he may have suffered: Wallis, Son and Wells v Pratt and Haynes, supra. 3. An undertaking in writing, in whatever form, that a statement with respect to the quantity of pre-packed goods, which is contained in any invoice or similar document relating to the goods, or marked on the container of such goods, is accurate: Weights and Measures Ordinance (Cap 68) s 20(6). 4. In marine insurance law, an undertaking by an assured of a promissory nature that some particular thing is or is not to be done or that some condition is to be fulfilled, or whereby he affirms or negatives the existence of a particular state of facts: Marine Insurance Ordinance (Cap 329) s 33(1). There are two types of warranty: express and implied: s 33(2). If the warranty is not complied with then, subject to any express provision in the policy and to the effect of waiver of the breach by the insurer (s 34(3)), the insurer is discharged from liability as from the date of the breach of warranty but without prejudice to any liability incurred by him before that date: s 33(3); Simons (t/a Acme Credit Services) v Gale [1958] 2 All ER 504, 1 WLR 678 (PC).
