| 释义 | 成員 In relation to an association, one of those persons associated together in the association. Corporations - 1. In general, a registered shareholder in a company. One of the persons who collectively constitute the company, or, in other words, its corporators: Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0337]. A member is not necessarily a shareholder, for an unlimited company or a company limited by guarantee may exist without a share capital: Re South London Fish Market Co (1888) 39 Ch D 324 (CA). 2. A person who has subscribed to a company’s memorandum shall be deemed to have agreed to become a member of the company. A person is not a member until the person’s name is entered on the register of members: Companies Ordinance (Cap 32) s 28. 3. One of the persons constituting a partnership, association or guild.
