释义 | 商業代理人 In the factors legislation, an agent having in the customary course of his business as such agent authority either to sell goods, or to consign goods for the purpose of sale, or to buy goods, or to raise money on the security of goods: Factors Ordinance (Cap 48) s 2(1). To be a mercantile agent the agent must be in the business of buying and selling or raising money for others: Belvoir Finance Ltd v Harold G Cole & Co Ltd [1969] 2 All ER 904, 1 WLR 1877. However, it is possible to be a mercantile agent although acting in that capacity only in an isolated transaction for a single principal, or although the agent’s general occupation is that of an independent dealer in the commodity entrusted to him or her, provided the agent acts in the capacity of a mercantile agent and is not a mere servant or shopkeeper: Lowther v Harris [1927] 1 KB 393. A mercantile agent has no authority, implied or statutory, to give goods of his principal to another to pledge for him, even though he may have authority to pledge them himself: De Gorter v Attenborough & Son (1904) 21 TLR 19.
