A company director appointed to represent the interests of particular shareholders or creditors on the board of directors. The power to appoint may be provided by the company’s articles, where for example, a creditor may be empowered to appoint a nominee to provide a form of security for the debt. A nominee directorship may arise in certain cases without provision in the articles, for example, where it derives from a shareholders’ agreement. A nominee is subject to the director’s fiduciary duty to the company, although he or she is not required to ignore the interests of the appointor: R v Barnes BC, ex p Conlan [1938] 3 All ER 226. The director’s duty to avoid conflicts of interests can be attenuated by informed consent of the shareholders of the company in relation to the making of profit in question by that director. However, the consent will not be effective if the director concerned exercises his voting power as shareholder to secure the consent: Cook v Deeks [1916] 1 AC 554 (PC).
