1.The right to buy or sell a specified asset at a particular price. A company may agree, for value, to give an option to any one to take all or any of its shares: Companies Ordinance (Cap 32) sch 10 para 12(2). An option may be exercised on a particular date (European option) or at any time before a particular date (American option). The purchaser of an option pays a premium to the options seller (grantor or writer) to gain protection against unfavourable movements in prices or rates, while still taking full advantage of favourable movements. The four components of an option are the expiry date, the exercise price, the number of shares or size of the assets involved, and the premium paid to acquire the option. 2. A contract of option is one whereby the grantor of the option offers to enter into what may be called a ‘major’ contract with a second person and makes a separate contract to keep his offer open: Halsbury’s Laws of Hong Kong, Vol 7, Contract [115.035].
