Heirs, executors, administrators, successors and assigns |
Descriptive clause of no legal effect. Traditionally used in definition or interpretation clauses to extend the description of a party to a contract to include any other people who may, by operation of law, be placed in the position of that party under the contract. The effectiveness is due to the operation of law and not by inclusion of this clause. For example, if the party dies, the executor (or administrator) may have some continuing rights under the contract or if the party assigns the benefit of the contract to another, the assignor may have various rights under the document of assignment. See also Administrator; Assignee; Executor; Heir; Successor. |
