The Corporate Finance Adviser Code of Conduct issued by the Securities and Futures Commission requires a sponsor of the public offering to ensure fair and independent balloting in cases where an offer is oversubscribed: The Corporate Finance Adviser Code of Conduct para 5.4(e). The issuer usually expressly or impliedly has a discretion as to which applications in due form are accepted. The usual result of an over-subscription is for the share price to increase above the issue price once the shares start trading.
