释义 | 一般會議主席 A member elected by the other members of that company to chair a general meeting of the members. Company Articles usually provide that whom should be elected. The chairman of the board of directors shall preside as chairman at every general meeting of the company, or if there is no such chairman, or if he shall not be present within 15 minutes after the time appointed for the holding of the meeting or is unwilling to act or is absent from Hong Kong or has given notice to the company of his intention not to attend the meeting, the directors shall elect one of their number to be chairman of the meeting: Companies Ordinance (Cap 32) sch 1 art 57. The duty of the chairman is to give each member in the meeting a reasonable opportunity to debate and vote. A chairman should act in accordance with certain conventional standards to facilitate the functions of the meeting. The chairman’s power is only for the purpose of giving members a reasonable opportunity to debate and vote: Byng v London Life Assn Ltd [1989] All ER 560, [1990] Ch 170 (CA). 由公司其他成員互選出來主持一般會員會議的成員。公司章則通常規定誰人應獲選出。公司董事局的主席應該以主席身份主持公司每個一會議,或若果不存在主席,或主席未能於指定開會時間十五分鐘內出席,或其拒絕主持,或不在香港,或其已發出不出席意願通知,董事須選出其他成員成為主席:《公司條例》(第32章)附表1第57條。主席的職責是給予每位成員在會議上有合理機會辯論及投票。主席須按照慣常用的準則便利會議的功能。主席的權力僅為會員給予合理的機會辯論及投票:Byng v London Life Assn Ltd [1989] All ER 560, [1990] Ch 170(英國上訴法院)。 |
