| 释义 | 股份有限公司 A company having, or deemed to have by containing a condition stating that the liability of its members is limited, the liability of its members limited to the amount unpaid on the shares respectively held by the members: Companies Ordinance (Cap 32) ss 4(2)(a), (3). The memorandum of association of the company must state its name, the limited liability of its members, the amount of share capital to be registered and the division thereof: s 5. The company may register the articles of association with its memorandum of association: s 9. On the winding up of the company, members are primarily liable to pay any part of the shares which has not been paid: s 170.
