1. Something demanded or required as a prerequisite to the granting or performance of something else. 2. In its common usage (illustrated by the expression ‘condition of sale’) any term in a contract, whatever its nature: Wickman Machine Tool Sales Ltd v L Schuler AG [1972] 1 WLR 840 (CA). 3. In contract law, a contractual term so important that any breach of it gives rise to a right to rescind the contract: Wallis, Son and Wells v Pratt and Haynes [1910] 2 KB 1003, [1911] AC 394 (HL). It is one of the terms in the tripartite classification (with ‘warranty’ and ‘intermediate term’) which determines the promisee’s remedy upon breach. 4. In sale of goods legislation, a term, any breach of which may give rise to claim for damages and to the right to reject the goods and treat the contract as repudiated: Sale of Goods Ordinance (Cap 26) s 13(2). 5. A contingency; that is, an event which is not certain to occur but which must occur before performance under the contract becomes due (a ‘condition precedent’): Wickman Machine Tool Sales Ltd v L Schuler AG, supra.
