释义 | 明示的保證 1. A statement or an undertaking contained in or made for a contract that states that the subject matter of the transaction attains or carries certain quality or conditions. The words used to signify the quality or condition have to be definite. Not all undertakings amount to a warranty, there are contractual undertakings in such complicated nature that cannot be treated as warranty, the result of a breach of such undertaking, unless expressly stated in the contract, would not mechanically follow from a prior classification of a warranty; the legal consequence depends very much on the nature of the event where the breach arises: Leung Yee & Anor v Ng Yiu Ming & Ors [2001] 2 HKC 342 (CA). Authorised representation is not the equivalent to a warranty: Empire Trend Enterprise Ltd v Double Mind Co Ltd [2001] 1 HKC 302. 2. In the context of marine insurance, any form of words if from which intention to warrant can be inferred will be treated as an express warranty and unless conflict arises, will not exclude implied warranty: Marine Insurance Ordinance (Cap 329) s 35.
