| 释义 | 特別決議 A resolution passed by not less than three quarters of the votes cast by such members as, being entitled so to do, vote in person or, where proxies are allowed, by proxy, at a general meeting of which not less than 21 days' notice, specifying the intention to propose the resolution as a special resolution, has been duly given: Companies Ordinance (Cap 32) s 116(1). If such notice is not given, members holding not less than 95% in nominal value of shares with right to vote and attending meeting may agree to the proposing and passing of the special resolution: s 116(1).
