| 释义 | Holroyd 訴Marshall的規則 The rule by which a purported assignment for value of legal property which fails at law, or a contract for value to assign legal property, effects an equitable assignment when the consideration is paid or executed: Holroyd v Marshall (1862) 10 HL Cas 190 (HL); 11 ER 999; The Koe Guan Co & Ors v The Yan On Marine & Fire Insurance Co Ltd & Anor [1906-7] 1 HKLR 95. Neither in equity nor at law can there be an assignment of what has no existence. The assignment operates as a contract; and, if it is for value, then, when the property comes into existence, equity, treating that as done which ought to be done, fastens upon the property, and the contract to assign becomes in equity a complete assignment: Halsbury’s Laws of Hong Kong, Vol 11, Equity [165.104]. It does not depend upon the availability of specific performance of the contract: Tailby v Official Receiver (1888) 13 AC 523 (HL).
