第三方 A person who is not a principal to an agreement, contract, proceeding or transaction. Agency - A person who is neither a principal nor agent. The third party is usually the person brought into a legal relationship with the principal by the agent. Also referred to as ‘third person’, ‘outside party’ or ‘stranger’: Hely-Hutchinson v Brayhead Ltd [1968] 1 QB 549. See also Agency; Agent; Principal. Contract - A person who is not a party to a contract. Generally, according to the doctrine of privity of contract, only the parties to a contract are bound by and entitled to enforce its terms (Manchu Gems Ltd & JP Knight Co v Pan American World Airways Inc [1979] HKLR 109), although a contract between parties to the contract can indirectly affect the legal rights of a third party: Hirachand Punamchand v Temple [1911] 2 KB 330 (CA). The benefit of a contractual promise may be held in trust for a third party where the contract cannot be voided or rescinded without the third party’s consent: Les Affréteurs Réunis SA v Leopold Walford (London) Ltd [1919] AC 801.
