释义 | 無效的合約 An apparent contract which is non-existent because it is invalidated from the outset, such as where it is illegal, contrary to public policy (Rock Refrigeration Ltd v Jones [1997] 1 All ER 1), prohibited by statute (Ooi Boon Leang v Citibank NA [1984] 1 WLR 723), or ultra vires one of the parties. Contracts which are void are not necessarily illegal: Boddington v Lawton [1994] ICR 478. Restitution of benefits conferred under a void contract may be possible on the basis of failure of consideration, mistake, incapacity, or public policy: Guinness Plc v Saunders [1990] 2 AC 663.
