释义	不記名債權證 A debenture which is expressed to be payable to its bearer, ie marked ‘pay bearer’. A bearer debenture may be transferred by delivery without advising the issuing company: Edelstein v Schuler & Co [1902] 2 KB 144. Being a negotiable instrument, a bearer debenture is transferrable by delivery, so as to pass the property in it to a holder for value in good faith, and to entitle him, upon delivery of it to the company, to obtain payment of the principal secured when due, and to sue in his own name upon the debenture: Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0509]. No register of ownership is kept by the issuing company.
