释义 | 期權合約 1. An agreement for consideration under which a party acquires a right exercisable before a specified time to buy or sell a property (personal or real) at a given price from another party. Where an option contract concerns the purchase of a legal estate and is unregistered under the Land Registration Ordinance it will be void against any subsequent bona fide purchaser or mortgagee for valuable consideration: Land Registration Ordinance (Cap 128) s 3(2). The effect of an option contract is to create an irrevocable offer (Strondale and Ball Ltd v Burden [1952] 1 Ch 223) and a power of acceptance (Varty v British South Africa Co [1965] Ch 508). 2. A financial option contract means a contract entered into on a recognised futures exchange or a recognised stock exchange under which a party to the contract acquires from the other party to the contract an option or right, exercisable at or before a specified time, to be paid by that other party an amount of money to be determined by reference to the amount by which a number specified in the contract is more or less than the number of a specified stock market index as at the time when the option or right is exercised: Mandatory Provident Fund Schemes (General) Regulation (Cap 485A) s 2. The purchase of such option contracts under a mandatory provident scheme is subject to statutory restrictions: sch 1.
