Promises on which a party claims to have relied in deciding to make a contract that did not in fact become terms of the contract. A party can claim on damages for a pre-contractual promise which induced him into entering the contract if the promise or statement was made fraudulently: Peek v Derry (1887) 37 Ch D 541. Where a person has entered into a contract after a misrepresentation has been made to him otherwise than fraudulently, and he would be entitled, by reason of the misrepresentation, to rescind the contract and claim damages: Misrepresentation Ordinance (Cap 284) s 3(2), (3). 當事人申訴在決定訂立合約時所倚賴的承諾﹐事實上沒有成為合約的條文。如有關承諾或指引以欺詐性作出﹐當事人可申訴就誘導他訂立合約的合約前承諾並追討賠償: Peek v Derry (1887) 37 Ch D 541。凡一個人在非欺詐性的失實陳述後訂立合約﹐ 他有權以失實陳述的理由去撤銷合約及申請賠償﹕《失實陳述條例》(第284章) 第3(2)﹐(3)條﹐另見 Collateral contract; Estoppel; Misrepresentation; Representation; Warranty; Warranty of authority。
