| 释义 | 藉協議解約 Parties’ obligations under a contract could be discharged by an agreement reached by them; the terms of the agreement reached determine the extent of their respective obligations, whether totally or partially, to be discharged. Discharge by agreement could be by way of an express or an implied agreement which is to be governed by law of contract. Without the knowledge or consent of a surety, an agreement reached by the creditor and the principal debtor may operate to discharge the surety’s obligations: Asian International Acceptances & Capital Ltd v Samuel Macomber Churn [1976] HKLR 956. Also known as ‘discharge by consent’.
