| 释义 | 不履行 Failure to discharge a contractual obligation at the time prescribed in the contract and it amounts to a breach. Failure of performance can be total or partial and in some circumstances the innocent party is entitled to discharge himself from the contract; however, this is not necessarily the case. The parties can still treat the contract as a valid one even though the parties fail to perform their respective promise by the prescribed time: Nice Fortune Development Ltd v Stable Network Ltd [1993] HKLY 666 (CA). A party still can ask for specific performance notwithstanding his failure to comply with a condition of a contract concerning time which is of essence: Rusky & Rose Imports Ltd v Loon Wear Garment Factory Ltd [1995] HKLY 238.
