| 释义 | 最終證明書 The certificate issued by the contract administrator on final completion which determines the amount of the final payment to the contractor. Under standard contracts, the issue of an unchallenged final certificate is usually conclusive as to the proprietor’s liability regarding final payment. However, the terminology used in contracts as regards the effect of a final certificate is open to some variations. A final certificate may be conclusive on some matters only, or not conclusive at all. Further, a certain standard form may provide for circumstances under which a conclusive final certificate may be rendered non-conclusive. Such circumstances may include fraud, dishonesty, defects not disclosable by reasonable inspection or examination, clerical or arithmetical errors.
