The person or entity who sells goods, shares or property. For example, a person by whom a property is or is to be disposed of, including a prospective landlord: Estate Agents Ordinance (Cap 511) s 2. The term vendor includes any person who, under an agreement for sale or an unwritten sale agreement contracts to sell immovable property, grants, confers, or transfers immovable property, an option or a right to purchase, or a right of pre-emption, and any person who authorises another person to execute in favour of a third party a conveyance of immovable property that is subject to an agreement for sale or unwritten sale agreement: Stamp Duty Ordinance (Cap 117) s 29A(1). The vendor will give good title which he will prove at his own expense, although the purchaser will be liable for the cost of verifying title: Conveyancing and Property Ordinance (Cap 219) sch 2 pt A condition 8. Often the answer to whether the vendor has given good title will be decided by the Court of First Instance in a vendor and purchaser summons, where the court is being asked to decide if the vendor’s answers to requisitions on title are satisfactory and if he has thereby met his contractual obligations as to title. Where any property to be acquired by the company is to be taken on lease, the term vendor includes the lessor: Companies Ordinance (Cap 32) sch 3 para 37.
