| 释义 | 成員自動清盤 The winding up of a company effected by special resolution of the members in general meeting: Companies Ordinance (Cap 32) s 228. A members’ voluntary winding up arises when a declaration of solvency has been made and delivered by the directors of the company: s 233(1). The members in general meeting appoint a liquidator for the purpose of winding up the affairs of the company and distributing its assets: s 235(1). On the appointment of a liquidator, all the powers of the directors cease: s 235(2). The company shall, from the commencement of the winding up, cease to carry on its business: s 231. Where a company is being wound up, whether by the court or voluntarily, every invoice, order for goods or business letter issued by or on behalf of the company or a liquidator of the company or a receiver or manager of the property of the company, being a document on or in which the name of the company appears, shall contain a statement that the company is being wound up: s 280(1).
