释义 | 離岸價 Abbr – FOB An expression describing a contract where the seller is obliged to deliver goods at its own expense and the risk of loss and damage is transferred to the buyer upon loading: Halsbury’s Laws of Hong Kong, Vol 23, Sale of Goods [355.311]. The seller is discharged from obligations when the goods pass over the ship’s rail at loading. This amounts to delivery to the buyer so that the buyer, the buyer’s agents, and the carrier, become responsible for the carriage of the goods to their destination. The terms of the contract may specify the ship or line upon which the goods are to be loaded or entitle the buyer to give subsequent instructions to the seller in regard to shipment (Marianne Trading Ltd v Cheung Yan Tin & Ors (t/a Lain Fun Trading Co) [1995] 1 HKC 488, 1 HKLR 195 (HC)), the time for giving any such instructions being of the essence (Bunge Corp New York v Tradax Export SA Panama [1981] 2 All ER 513, 1 WLR 711 (HL).
