| 释义 | 可使無效的交易 A transaction that is liable to be set aside, varied or made the subject of a court order. A transaction is not void or voidable by reason only that any market misconduct has taken place in relation to or as a result of it: Securities and Futures Ordinance (Cap 571) s 280. Every voluntary disposition of land made with intent to defraud a subsequent purchaser is voidable at the instance of that purchaser: Conveyancing and Property Ordinance (Cap 219) s 61(1). If a personal representative purchases, either directly or indirectly, any of the property of the deceased, the sale shall be voidable at the instance of any other person interested in the property sold: Probate and Administration Ordinance (Cap 10) s 55. Where in any transaction, an attorney or agent has benefited himself without the express approval or consent of the donor or the principal, the transaction is voidable: Yook Lu Fong & Anor v Lau Po Ching [2002] 2 HKC 657. If a party entitled to set aside a voidable transaction elects with full knowledge to affirm it, he cannot thereafter maintain a claim for rescission of the contract: Peyman v Lanjani [1985] Ch 457, [1984] 3 All ER 703 (CA).
