| 释义 | 匯票持有人 The payee or indorsee of a bill who is in possession of it or, in the case of a bill which is payable to bearer, the bearer of it: Bills of Exchange Ordinance (Cap 19) s 2. A bearer is a person in possession of a bill which is payable to bearer: s 2. A bill is payable to bearer if it is expressed to be so payable, or on which the only or last indorsement is an indorsement in blank: ss 8(3), 34(1). The holder of a bill may convert the blank indorsement on the cheque into a special indorsement by writing above the indorser’s signature a direction to pay the bill to the order of himself or some other person: s 34(4); Shing Fung Finance Co Ltd v Waylee Textiles Ltd [1988] 1 HKC 242 (CFI). The holder of a bill, who has a right to sue, may sue in that person’s own name: s 38(a). Even if a holder’s title to a bill is defective, the bill may be negotiated to ‘holder in due course’, who obtains a good and complete title to bill, and if payment of the bill is made in due course he or she is validly discharged from the bill: s 38(c).
