释义 | 作出保證的意圖 Mental determination to contractually guarantee a particular issue, such that a breach of the issue would be a repudiation of the contract, that means, the obligation arising from the term goes directly to the substance of the contract and its non-performance may fairly be considered as a substantial failure to perform the contract at all: Halsbury’s Laws of Hong Kong, Vol 7, Contract [115.353]. An intention to warrant may be evidenced by the importance of the issue as disclosed in the contract, and in the absence of a particular stipulation, is a question for the court.
