| 释义 | 成員登記支冊 1. The register of a Hong Kong company kept outside Hong Kong recording the details of the company’s members: Companies Ordinance (Cap 32) s 103. Details to be entered into the register: s 95. An overseas register can only be kept if the company’s Articles of Association permit the keeping of such a register: s 103(1). A licence is granted by the Chief Executive in accordance with s 103(1): s 103(7). The company must satisfy the Chief Executive that a substantial part of the company’s business is transacted at or near the place where the register is wished to be kept: s 103(1)(a). A branch register is deemed to be part of the principal register, except with respect to shares registered: s 104(1). Shares registered in a branch register are to be distinguished from those registered in the principal register: s 104(4) 2. The register of an overseas company kept in Hong Kong of the company’s members resident in Hong Kong. Overseas companies may only keep a register in Hong Kong if the law under which the company was incorporated permits to do so: Companies Ordinance (Cap 32) s 106.
