释义 | 租契契諾 A clause in a lease setting out the rights and obligations of a lessor and lessee of land. The assignees of both parties are bound by all the covenants in the lease that ‘touch and concern’ the land. Covenants by a tenant commonly provide for payment of rent and rates, taxes, maintenance, insurance, restrictions on user and on assigning and subletting, and the yielding up of the premises on the determination of the lease. Landlord’s covenant commonly provide for quiet enjoyment, payment of rates and taxes, and maintenance of the premises. If an agreement for a lease does not specify what covenants are to be incorporated in the lease, the parties may require the incorporation of the usual covenants, namely to pay rent and taxes, to keep and deliver up the premises in repair, and to allow the landlord to enter and view the state of repair. In addition, it is also a usual covenant for the landlord to provide for quiet enjoyment: Halsbury’s Laws of Hong Kong, Vol 17, Landlord and Tenant [235.055], [235.098]. As a general rule, covenants in leases are enforceable between the successors in title of the original landlord and the tenant under the doctrine of estate (Spencer’s Case (1583) 5 Co Rep 16a) or by virtue of statute (Conveyancing and Property Ordinance (Cap 219) ss 31-32).
