释义 | 限制性背書 An indorsement prohibiting the further negotiation of the bill or expressing that it is a mere authority to deal with the bill as thereby directed and not a transfer of the ownership thereof, as, for example, if a bill is indorsed ‘Pay D only’, or ‘Pay D for the account of X’, or ‘Pay D or order for collection’: Bills of Exchange Ordinance (Cap 19) s 35(1). A restrictive indorsee has the right to receive payment of the bill and to sue any party thereto that his indorser could have sued, but not the power to transfer his rights as indorsee, unless it expressly authorises him to do so: s 35(2). An indorsement is restrictive if it constitutes the indorsee the agent of the indorser for a special purpose, or makes the indorsee trustee for another: Williams Deacon & Co v Shadbolt (1885) Cab & El 529; Ancher v Bank of England (1781) 2 Doug KB 637. 任何背書如禁止將有關匯票再度轉讓,或明示只授權按背書的指示處理該匯票而非將該匯票的擁有權移轉,則該項背書即為限制性背書,例如匯票上有以下的背書:「Pay D only」或「Pay D for the account of X」,或「Pay D or order for collection」:《匯票條例》(第19章)第35(1)條。承背書人有權收取匯票上所示的付款,並起訴其背書人本可起訴的該匯票的任何一方,但該項背書並不賦予其權力將其作為承背書人的權利移轉,但如該背書明示授權該承背書人可如此移轉其權利,則屬例外: 第35(2)條。如背書使承背書人成為背書人的某一特別目的的代理,或使承背書人的信託人為他人的代理,則該項背書即為限制性背書:Williams Deacon & Co v Shadbolt (1885) Cab & El 529; Ancher v Bank of England (1781) 2 Doug KB 637。 |
