A covenant affecting land restricting the uses to which land may be put. At common law, the benefit of a covenant could run with the land, but the burden could not. Equity allows the burden of restrictive covenants to run with the land, thus binding successors in title to the original covenantor: Tulk v Moxhay (1848) 41 ER 1143. The equitable doctrine is, however, confined to covenants of a negative nature. In Hong Kong, the equitable doctrine has been extended by allowing the enforcement of positive covenants also: Conveyancing and Property Ordinance (Cap 219) s 41(2). This is necessary in respect of covenants in a deed of mutual covenant affecting common ownership of a multi-storey building: Wong Kam Lan v Well Win Investment Ltd [1996] 2 HKC 143. Successors in title who acquire land affected by a restrictive covenant, whether or not they had notice, will be bound by it if it is registered: s 41(9).
