释义 | 不可轉讓 1. On a bill of exchange, a phrase on the bill prohibiting its transfer, or indicating an intention that the bill should not be transferable: Bills of Exchange Ordinance (Cap 19) s 8(1). Sufficient indication of non-transferability is also evinced by the words ‘not transferable’ or ‘pay Jones only’. The Bills of Exchange Ordinance does not prescribe a test for determining whether other instruments are negotiable. It is for the courts to decide whether by mercantile usage an instrument has acquired the characteristics of a negotiable instrument: Edelstein v Schuler & Co [1902] 2 KB 144. 2. On a cheque, words often written across the instrument indicating that the cheque retains its transferability: Bills of Exchange Ordinance (Cap 19) s 81. Where a person takes a crossed cheque which bears on it the words ‘not negotiable’, he will not have, and will not be capable of giving, a better title to the cheque than that which the person from whom he took it had: s 81; Great Western Rly Co v London and County Banking Co [1901] AC 414 (HL). The legal effect of adding the words ‘not negotiable’ to a cheque is, therefore, not to impede transfer, but to perpetuate in the hands of any transferee whatever defect or infirmity of title may affect the person who first transferred the cheque with those words on it: Great Western Rly Co v London and County Banking Co, supra. If there was no defect in the payee’s title to the cheque, the drawer had no defence to the indorsee’s claim: Sum Wing Credits Ltd v Shun Yip Textiles Ltd & Anor (1988) HKC 405.
