| 释义 | 持有人 1. A person who has been granted something and retains it for the time being. The term arises in a number of contexts, for example holder of a passport: Hong Kong Special Administrative Region Passports Ordinance (Cap 539) s 2; holder of a bill of lading: Bills of Lading and Analogous Shipping Documents Ordinance (Cap 440) s 2; holder of a permit: Security and Guarding Services Ordinance (Cap 460) s 2; holder of shares: Companies Ordinance (Cap 32) s 71A. 2. A person who is given permission to do some acts by way of a licence: for example Air Pollution Control Ordinance (Cap 311) s 2; Copyright Ordinance (Cap 528) s 135. Bills of exchange - The payee or indorsee of a bill of exchange or promissory note who is in possession of it, or the bearer thereof: Bills of Exchange Ordinance (Cap 19) s 2. A person who is in possession of but is not the payee or indorsee of a bill payable to order is not a holder: United Links International Ltd v The Price Co [1994] 2 HKC 617 (HC). However, ‘holder’ does include a bank which is a mere agent for collection: Westminster Bank Ltd v Zang [1966] AC 182, 1 All ER 114 (HL); Sutters v Briggs [1922] 1 AC 1 (HL). ‘Holder’ includes an indorser who has recovered possession as payee, having paid the bill, whether or not the bill has been indorsed back to that indorser: NCNB National Bank v Gonara (HK) Ltd [1984] HKLR 152 (HC). Status as a ‘holder’, ‘holder for value’, or ‘holder in due course’ determines the level of entitlement to the privileges of the regime of negotiability.
