1. A formal but non-contractual assurance from a third party to a lender which represents that a particular fact is true, or that the third party is aware of the loan, or intends to act in a certain way in the future. 2. A means by which a potential creditor is reassured that a debt will be repaid. It is often given by a parent company to a bank which is contemplating advancing funds to one of its subsidiaries. A comfort letter therefore is in lieu of a formal guarantee and in general terms, is not legally enforceable: Kleinworth Benson Ltd v Malaysian Mining Corp [1989] 1 WLR 799, 1 All ER 714. However, that fact may be cast in doubt if it can be shown that the wording used is particularly strong and within a particular factual context: Banque Brussels Lambert AS v Australian National Industries Ltd (1989) 21 NSWLR 502.
