释义 | 擔保合約 A contract by which a party is obliged to answer for a debt or default of another person. The general rules of contract will apply: Helyman Trading Ltd v Lloyd’s Bank International Ltd [1984] HKC 126. There must be a principal and a secondary debtor: General Surety and Guarantee Co Ltd v Francis Parker Ltd (1977) 6 BLR 16. It is necessary to identify the precise nature of the obligation guaranteed: China and South Sea Bank Ltd v Tan Soon-gin, George [1989] 1 HKC 155, [1990] 1 HKLR 546, [1990] 1 AC 536 (PC).
