| 释义 | 債權證 1. At common law, a document which either creates a debt or acknowledges it: Levy v Abercorris Slate & Slab Co [1887] 37 Ch D 260. A mortgage of land by a company is held to be a debenture: Knightsbridge Estate Trust Ltd v Byrne [1939] Ch 441, [1940] AC 163 (CA). Thus, a company may issue a single debenture as evidence of a large loan, or it may issue a series of small denomination debentures or debenture stock. Negotiable instruments such as bills of exchange and promissory notes as well as deeds of covenant are excluded. 2. A debenture includes debenture stock, bonds and any other securities of a company whether constituting a charge on the assets of the company or not: Companies Ordinance (Cap 32) s 2. In common banking parlance, however, a debenture refers to a document under which a borrower creates the security for a secured loan.
