释义	受載期 A day allowed in a charterparty or bill of lading for the loading or discharge of cargo: Inverkip Steamship Co Ltd v Bunge [1917] 2 KB 193 (CA). It is contemplated by the contract and covered by the freight: Inverkip SS Co Ltd v Bunge & Co, supra. If the number of lay days is exceeded, the charterers will be in breach and demurrage will be payable. The number of lay days is generally based on an estimate of the time needed to carry out the operations with reasonable diligence if all goes well. The concept of a day will usually be qualified so as to clearly specify which days are included and which days are not. Thus, working days, weather working days, and running days may be counted. Lay days start to run when the ship has arrived (E L Oldendorff & Co GmbH v Tradax Export SA [1973] 3 WLR 382, [1974] AC 479 (HL)) and been made ready to load or unload (Logs & Timber Products (Singapore) Pte Ltd v Keeley Granite (Pty) Ltd, The Freijo [1978] 2 Lloyd’s Rep 1 (CA)), and notice of such readiness has been given (Vyse v Wakefield (1840) 6 M & W 442). If there is no specified number of lay days, then a reasonable number will be implied: Pantland Hick v Raymond & Reid [1893] AC 22 (HL). The running of lay days may be suspended in certain circumstances, such as the occurrence of industrial action covered by a strike clause: Hulthen v CA Stewart & Co [1903] AC 389 (HL).
