| 释义 | 成員登記冊 A register required to be kept by every company which includes the names and addresses, and the occupations or descriptions, of members, and in the case of a company having a share capital a statement of the shares held by each member, distinguishing each share by its number (so long as the share has a number), and of the amount paid or agreed to be considered as paid on the shares of each member; the date at which each person was entered in the register as a member; and the date at which any person ceased to be a member: Companies Ordinance (Cap 32) s 95(1)(a)-(c). Failure to take these precautions renders the company and every officer of it who is in default liable to a fine: s 348C(4). In order to constitute membership, entry on the register is necessary: Yan Kwok Kin, Julian v Yan Kwok Kee, Gay [1997] 3 HKC 237, HKLRD 1199.
