释义	財產處置 Transfer of proprietary rights. Corporations - Any act by which proprietary rights are transferred from a company to a disponee. A company has extensive powers of selling its personal property as incidental to the management of its business. A power to sell its business for shares in another company is implied by the Companies Ordinance (Cap 32) sch 7: Halsbury’s Laws of Hong Kong, Vol 6, Companies & Corporations [95.0218]. Any disposition of the property of the company including things in action, and any transfer of shares, or alterations in the status of the members of the company made after the commencement of the winding up of the company shall be void unless the court orders otherwise: Companies Ordinance (Cap 32) s 182. See also Disponee; Winding up. Real Property - 1. An act by which proprietary rights are transferred from a disponor to a disponee. It includes the conferring to a power of appointment and any other disposition of an interest in or right over property: Perpetuities and Accumulations Ordinance (Cap 257) s 2(1). 2. A conveyance, transfer, assignment, settlement, delivery, payment, or other alienation of property. A disposition of property includes: the allotment of shares in a company (Companies Ordinance (Cap 32) ss 17, 199, sch 7); the creation of a trust in property; the granting or creation of a lease, mortgage, charge, servitude, licence, partnership, or interest in property; the lease, discharge, surrender, forfeiture, or abandonment, at law or in equity, of any debt, contract, or chose in action, or of any interest in property; the exercise of a general power of appointment of property in favour of a person other than the donee of the power; and any transaction entered into with the intention to diminish the value of that property or increase the value of other property. A loan of money is a disposition of property.
