| 释义 | 為正當目的行事的責任 The duty of a director of a corporation to exercise powers and discretions only for the purpose for which they were given, not for collateral purposes: Hogg v Cramphorn Ltd [1966] 3 All ER 420, [1967] Ch 254, Howard Smith Ltd v Ampol Petroleum Ltd [1974] 1 All ER 1126, AC 821 (PC). Whether acts are performed for the benefit of the company is determined objectively, but evidence as to subjective intentions or beliefs is nevertheless relevant. When the directors exercise their powers for more than one purpose, the validity of the directors’ act depends on whether the primary or substantial purpose can be justified: Howard Smith Ltd v Ampol Petroleum Ltd, supra.
