释义	隱名合夥人 A member of a partnership by virtue of a capital contribution who does not play an active role in the day-to-day operation and administration of the business. A silent partner is jointly and severally liable for any debts incurred by the partnership and equally entitled to share the profits of the business. Also known as ‘sleeping partner’. See also Dormant partner. 憑藉出資成為合夥成員，但在有關業務的日常運作及管理上則不會擔當積極參與的角色。就有關合夥招致的任何債務而言，隱名合夥人負有共同及各別的法律責任，並同樣享有分享業務利潤的權利。另稱「不參與具體經營的合夥人」。另見 Dormant partner。
