| 释义 | 隱含給予效力的責任 In contract law, the implied obligation on each party to do everything necessary to enable the other party to perform its contractual obligations, and to do nothing to impede or prevent the other party from performing these obligations: Hong Kong Aircrew Officers Assn v Cathay Pacific Airways Ltd [1994] 2 HKLR 367 (HC). A covenant which is implied into a contract with the object of giving to the transaction such efficacy as the parties have intended it to have: for example, Emerson Radio Corp v IRC [1999] 1 HKLRD 250 (CFI), Twinkle Step Investment Ltd v Smart International Industrial Ltd [1999] 3 HKLRD 521, Tai Hing Cotton Mill Ltd v Liu Chong Hing Bank Ltd & Ors [1986] AC 80 (PC).
