| 释义 | 隱名合夥人 A person who contributes property without labour, and has the rights of a partner. A sleeping partner may, however, contribute nothing: Pooley v Driver (1876) 5 Ch D 458. A sleeping partner is bound by contracts made by the ostensible partners in the ordinary course of the partnership business: Mercantile Credit Co Ltd v Garrod [1962] 3 All ER 1103. A sleeping partner may be expressly restrained from acting in the firm’s business by a provision in the partnership agreement. A sleeping partner is often in a secret or concealed position and may have put up all the firm’s capital and take no further role than recoupment of interest on the investment. Such concealment will not give the sleeping partner any special protection from liability to creditors where the firm has been effectively bound by the acts of the other partners acting within their authority. Also known as ‘dormant partner’.
