释义 | 分承租人 A lessee who holds title derived from a lessee and so holds a leasehold interest in a leasehold estate. There is neither privity of contract nor privity of estate between the head landlord and the under tenant (Fuller’s Theatre and Vaudeville co Ltd v Rofe [1923] AC 435), and so the under tenant is not personally liable for the rent reserved by, or on positive covenants contained in the head lease. However, the under tenant is liable to distress for rent reserved by the head lease (Great Western Railway v Smith [1876] 2 Ch D 253), and if the head lease contains a proviso for re-entry on breach of covenant, he is liable to be evicted for such a breach (Spencer v Marriott (1823) 1 B & C 457). Where the under tenant holds for exactly the same term and on the same conditions as contained in the leasehold estate from which it has been granted then the under tenant is also an assignee: Beardman v Wilson (1868) LR 4 CP 57.
