| 释义 | 無限公司 A company not having any limit on the liability of its members: Companies Ordinance (Cap 32) s 4(2). In other words, its members will be personally liable for the debts of the company without limit: s 4(2)(c). The articles of the unlimited company shall state the number of members with which the company proposes to be registered and, if the company has a share capital, the amount of share capital with which the company proposes to be registered: s 10(1). Every company should mention in legible characters in all documents to have its name mentioned, in the case of an unlimited company, the fact that it is incorporated without limited liability: s 93(1)(d)(ii). An unlimited company may be re-registered as limited company if a special resolution that it should be so re-registered: s 19.
