释义 | 無抵押票據 A security issued by a company which acknowledges a loan to the company, without any charge over the company’s property. An unsecured note represents a loan to a company usually for a fixed period of time at a fixed rate of interest. Where such notes are secured by a trust deed, in the sense that the company covenants to pay the money due under them to trustees, they are sometimes called unsecured loan stock. Since no charge is created, such notes do not require registration under the Companies Ordinance: Companies Ordinance (Cap 32) s 88(1). The holders of such notes are entitled to no priority over the creditors of the company in the payment of the money due on them. Also known as ‘naked debenture’.
