The right of a person, due to the person’s relationship with a second person, to be immune from liability to a third person because the second person has, apart from the relationship, such an immunity: Elder, Demester & Co Ltd v Paterson, Zachonis and Co Ltd [1924] AC 522. Another situation of vicarious immunity is where a third party relies upon an exclusion clause when one of the parties to the contract acts as the agent of that third party to make him a party to the contract, at least in so far as it excludes that third party’s liability: New Zealand Shipping Co Ltd v A M Satterthwaite & Co Ltd [1974] 1 All ER 1015 (PC).
