释义 | 法定股本 The amount of share capital stated in the memorandum of association of a company, which is the maximum amount of capital that the company is authorised to raise by issuing its shares: Companies Ordinance (Cap 32) s 5(4)(a); Halsbury’s Laws of Hong Kong, Vol 6 Companies and Corporations [95.0219]. The authorised capital is always greater than or equal to the paid-up capital of the company. Persons who conspired to issue shares more than the authorised capital are guilty of conspiracy: R v Mott (1827) 2 C&P 521.
